Terms and Conditions of Use

These Terms and Conditions of Use (“Terms”) constitute a legally binding agreement between you (“User”, “you”, “your”) and Labelle Digital Pty Ltd (69 686 183 951) (“Labelle”, “we”, “us”, “our”) in relation to your access to and use of the Labelle website, applications, and associated services (collectively, the “Platform”).

By creating an account or otherwise accessing or using the Platform, you agree to be bound by these Terms. If you do not accept these Terms, you must immediately cease use of the Platform.

 

1. Eligibility and Accounts

1.1 Users must be at least 13 years of age to access and use the Platform. Users under 18 years of age warrant that they have obtained parental or guardian consent.
1.2 You must provide accurate and complete information when registering for an account and must keep such information up to date.
1.3 You are solely responsible for maintaining the confidentiality of your account credentials and for all activity conducted under your account.
1.4 Labelle reserves the right, at its absolute discretion, to suspend or terminate your account in the event of a breach of these Terms.

 

2. User Content

2.1 Users may submit reviews, comments, images, and other material (“User Content”).
2.2 You retain ownership of any intellectual property rights in your User Content.
2.3 By submitting User Content, you grant Labelle a perpetual, irrevocable, worldwide, non-exclusive, royalty-free, transferable licence (with the right to sublicense) to use, reproduce, display, adapt, distribute, and otherwise exploit the User Content for the operation, promotion, and development of the Platform.
2.4 You warrant that:
(a) you hold all necessary rights in the User Content;
(b) the User Content does not infringe the intellectual property, moral, or privacy rights of any third party; and
(c) the User Content is not unlawful, defamatory, obscene, offensive, misleading, or otherwise prohibited under applicable law.
2.5 Labelle reserves the right to monitor, edit, or remove any User Content at its sole discretion.

 

3. Licence to Use Platform

3.1 Labelle grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for personal, non-commercial purposes in accordance with these Terms.
3.2 You must not reproduce, distribute, sell, lease, or otherwise exploit any part of the Platform or its content for commercial purposes without Labelle’s prior written consent.

 

4. Prohibited Conduct

You must not:
(a) use the Platform for any unlawful purpose;
(b) post or transmit any material that is defamatory, offensive, misleading, or otherwise objectionable;
(c) impersonate any person or misrepresent your affiliation with any person or entity;
(d) upload or transmit any viruses, malware, or harmful code;
(e) engage in unauthorised scraping, harvesting, or collection of data from the Platform;
(f) interfere with or disrupt the security, integrity, or performance of the Platform; or
(g) use the Platform to advertise, solicit, or engage in unauthorised commercial activity.

 

5. Disclaimer and Limitation of Liability

5.1 All content made available on the Platform, including User Content, is provided for information purposes only and does not constitute medical, dermatological, or professional advice. You should not rely on such content without obtaining appropriate professional guidance.
5.2 User Content represents the opinions of individual users and does not represent the views or endorsements of Labelle.
5.3 To the fullest extent permitted by law, Labelle excludes all warranties, conditions, representations, or guarantees, whether express or implied, including as to the accuracy, reliability, or completeness of the Platform.
5.4 To the fullest extent permitted by law, Labelle shall not be liable for any direct, indirect, incidental, consequential, or special damages (including loss of profits, data, or goodwill) arising out of or in connection with:
(a) reliance on User Content or third-party products and services;
(b) any interruption, suspension, or termination of the Platform; or
(c) unauthorised access to your account or data.
5.5 Nothing in these Terms excludes, restricts, or modifies any consumer guarantees, rights, or remedies conferred under the Australian Consumer Law that cannot be excluded by law.

 

6. Indemnity

You agree to indemnify, defend, and hold harmless Labelle, its directors, officers, employees, and agents from and against any claim, liability, loss, damage, cost, or expense (including legal costs) arising out of or in connection with:
(a) your breach of these Terms;
(b) your misuse of the Platform; or
(c) any User Content submitted by you that infringes the rights of any third party or violates any law.

 

7. Affiliate Links and Third-Party Services

7.1 The Platform may contain affiliate links through which Labelle earns a commission from purchases made by users. Labelle does not endorse or guarantee any third-party products or services.
7.2 The Platform may include links to third-party websites or services. Labelle is not responsible for the content, accuracy, or practices of such websites or services.

 

8. Modifications and Availability

8.1 Labelle may, at any time and without notice, modify, suspend, or discontinue any part of the Platform.
8.2 Labelle may amend these Terms from time to time. Continued use of the Platform following publication of amended Terms constitutes acceptance of those amendments.

 

9. Governing Law and Dispute Resolution

9.1 These Terms are governed by the laws of Australia.
9.2 The parties agree to attempt to resolve any dispute by mediation before commencing legal proceedings.
9.3 Subject to clause 9.2, the courts of Australia shall have exclusive jurisdiction to hear any proceedings in relation to these Terms.

 

10. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision shall be severed, and the remaining provisions shall remain in full force and effect.

 

11. Entire Agreement

These Terms constitute the entire agreement between you and Labelle in relation to the Platform and supersede all prior agreements, understandings, or representations.
